Step-by-Step Guide to establish an LLC in Kentucky

1. Name your LLC 

It is essential to review Kentucky's LLC naming requirements to ensure no delays occur when getting approved. Your LLC name must reflect your business's nature, target audience, and overall brand identity. 

2. Verify Name Availability 

Checking registered trademarks within your state will help you choose a unique name. To expand your business to offer online services, you must see if your LLC name choice is available as a domain name. 

 3. Choose a Registered Agent

A registered agent is a person an LLC is registered to, and they receive all the legal and official documents. There are several options to consider when choosing your registered agent:

  • You can be the registered agent of your LLC.
  • A friend or family member can be the registered agent of your LLC.
  • You can also hire a professional registered agent.

This person should have the best interest of your LLC in mind when making business decisions. 

4. File Articles of Organization 

Preparing an article of an organization that clearly states the policies and procedures that will be upheld within your LLC can be a lot of work. The Kentucky Secretary of State's website conveniently has a copy of the article of organization form that you can download. 

This form allows you to input required LLC information, including LLC's name, address, registered agent details, launch date, and duration. 

5. Create an Operating Agreement 

Obtaining an operating agreement is not mandatory, however, it is highly recommended. The operating agreement highlights the ownership structure, management responsibilities, and operating procedures of the LLC. You can also create an operating agreement orally using a recording device. 

6. Apply for an Employer Identification Number (EIN)

Applying for your LLC's EIN number is an exciting part of the process. You can start the application process by visiting the IRS website. If you plan to hire people to aid you in running your business or opening a business bank account, you will need to have an EIN number. 

7. Register for State Taxes

You can learn more about the state tax requirements pertaining to your business type by visiting the Kentucky Department of Revenue website. Some business types are not required to register for state taxes. 

8. Comply and Maintain Requirements

Upon completion of your LLC, you will need to consistently monitor business operations to ensure they are following compliance. The state of Kentucky requires LLCs to file an annual report by June 30th, this includes a small filing fee. You can conveniently file an annual report on the Kentucky Secretary of State's website
